1. Acceptance

By accessing or using the Site, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, do not use the Site.

If you use the Site on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

2. The Site and its content

The Site provides general information about Guardino, its products and its services. Content is provided for informational purposes only and may be changed, suspended or withdrawn at any time without notice.

Nothing on the Site constitutes a binding offer, a warranty, professional advice, or a guarantee of any specific outcome. Product capabilities, statistics and roadmap items are indicative and may change.

3. Acceptable use

You agree not to misuse the Site. Prohibited activities are set out in full in our Acceptable Use Policy and include attempting to gain unauthorised access, scanning or probing the Site, scraping at a scale that burdens the service, introducing malware, or using the Site to violate any law.

We may suspend or block access that we reasonably believe violates these Terms or the Acceptable Use Policy.

4. Intellectual property

The Site, its design, text, graphics, logos and the "Guardino" name and marks are owned by or licensed to Guardino and are protected by intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Site for your own informational use. You may not copy, reproduce, republish, frame or create derivative works from the Site without our prior written permission, except as permitted by mandatory law.

5. Trademarks

"Guardino", the Guardino logo and related marks are trademarks of Guardino Technologies LLC. You may not use them without our prior written consent, except to refer fairly and accurately to our products and services.

6. Third-party links

The Site may link to third-party websites and resources. We do not control and are not responsible for their content, policies or practices. Links are provided for convenience and do not imply endorsement.

7. No warranty

The Site is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability, to the maximum extent permitted by law.

Security is a continuing effort, not a guarantee. Statements about our products on this Site do not warrant that any product will prevent every threat. See our Disclaimer.

8. Limitation of liability

To the maximum extent permitted by law, Guardino and its officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or business, arising from or related to your use of the Site.

To the extent any liability cannot be excluded, our aggregate liability arising from the Site is limited to one hundred US dollars (USD 100). Nothing in these Terms excludes liability that cannot lawfully be excluded.

9. Indemnity

You agree to indemnify and hold Guardino harmless from claims, damages and expenses (including reasonable legal fees) arising from your misuse of the Site or your breach of these Terms.

10. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules.

Any dispute arising from or relating to the Site shall be resolved by binding arbitration seated in Wyoming, USA, except that either party may seek injunctive relief in court to protect intellectual-property rights. Where mandatory consumer-protection law grants you the right to bring proceedings in your country of residence, that right is preserved.

11. Export control and sanctions

Guardino is a US entity. You may not access or use the Site, or our products, in violation of US export-control or economic-sanctions laws, including regulations administered by OFAC. You represent that you are not located in, and not a national of, a comprehensively embargoed jurisdiction, and that you are not on any restricted-party list.

12. Turkish users

If you are a consumer located in Türkiye, mandatory rights under the Turkish Consumer Protection Law No. 6502 and the processing of your personal data under the KVKK (Law No. 6698) apply in addition to these Terms and are not limited by them.

13. Changes

We may revise these Terms at any time by posting an updated version with a new "Effective" date. Continued use of the Site after changes take effect constitutes acceptance.
